These Terms of Service ("Terms") constitute a legally binding agreement between Cowboy Travel Limited, an Irish company registered at Bricana, Gowran, Kilkenny, Ireland ("Cowboy," "we," "us," or "our"), and you as an individual user ("User," "you," or "your") of the Cowboy mobile application, website, and related services (together, the "Platform").

By downloading, installing, accessing, or using the Platform, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding contract, have read and understood these Terms in full, and agree to be bound by them. If you do not agree, do not use the Platform.

1.  About the Platform

Cowboy operates a travel technology platform designed to help travellers discover, plan, and book accommodation — principally hostels and budget properties — in Thailand, with a view to expanding to further markets. The Platform is built on a NestJS and PostgreSQL backend with Prisma ORM, uses Firebase Authentication for user identity management, Google Maps for interactive mapping and route planning, Stripe for payment processing, and Firebase Analytics for usage instrumentation. The admin panel provides interactive map pin management and an analytics dashboard accessible to authorised Cowboy administrators.

Cowboy provides a marketplace and booking interface. Cowboy is not itself a hostel, accommodation provider, tour operator, travel agent, or transport provider. Accommodation listed on the Platform is offered by independent third-party Partners. The accommodation contract resulting from a confirmed booking is between you and the relevant Partner. Cowboy facilitates the booking process and, where applicable, acts as payment intermediary. Activities and transport options are provided as external links to third-party providers and do not constitute services offered by Cowboy.

2.  Account Registration and Eligibility

2.1  Age and Capacity

‍ ‍You must be at least 18 years of age and have full legal capacity to enter into these Terms. By registering, you represent and warrant that you satisfy these requirements.

‍ ‍2.2  Registration Obligations

‍ ‍To access booking, route planning, and personalisation features, you must create an account. You agree to provide accurate, current, and complete registration information; keep your account details up to date; keep your credentials confidential and not share them with any third party; and notify us immediately at [SUPPORT EMAIL] if you become aware of any unauthorised use of your account.

‍ ‍2.3  Firebase Authentication

‍ ‍Account creation and authentication are managed through Firebase Authentication (Google LLC) using email and password. By using Firebase Authentication, you acknowledge that Google processes your authentication data as described in the Privacy Policy.

‍ ‍2.4  Account Responsibility

‍ ‍You are responsible for all activity that occurs under your account, whether or not authorised by you. Cowboy is not liable for loss or damage arising from your failure to maintain credential security, except where caused by Cowboy's own negligence or breach.

‍ ‍2.5  Suspension and Termination by Cowboy

‍ ‍Cowboy reserves the right to suspend or terminate your account at any time, with or without prior notice, where you breach these Terms, engage in fraudulent, abusive, illegal, or harmful conduct, or where required by applicable law or a regulatory authority. Cowboy will act reasonably in exercising this right. Where a suspension or termination affects confirmed bookings, Cowboy will take reasonable steps to minimise disruption to those reservations.

‍ ‍2.6  Voluntary Closure

‍ ‍You may close your account at any time pursuant to Section 16 of these Terms.

3.  Bookings and Reservations

‍ ‍3.1  Nature of the Booking

‍ ‍When you make a booking through the Platform, you are entering a reservation agreement directly with the relevant Partner. Cowboy acts as intermediary and facilitates the booking on the Partner's behalf. Cowboy is not a party to the accommodation contract. A booking is confirmed when you receive written confirmation issued by Cowboy or the Partner.

‍ ‍3.2  Your Information

‍ ‍You are solely responsible for ensuring that all booking information you provide — including names, dates, guest numbers, and requests — is accurate and complete. Neither Cowboy nor the Partner is responsible for loss or cost arising from inaccurate information you submit.

‍ ‍3.3  Partner Policies

‍ ‍Each Partner independently sets its own policies on pricing, availability, check-in and check-out times, house rules, minimum ages, smoking, pets, and other operational matters. You are responsible for reviewing and complying with the applicable Partner policies displayed on the Platform before confirming a booking. Cowboy does not warrant the accuracy or currency of Partner policy information.

‍ ‍3.4  Availability

‍ ‍All listings are subject to real-time availability and may change without notice until a booking is confirmed. Where a confirmed booking cannot be fulfilled due to Partner unavailability or circumstances beyond Cowboy's reasonable control, Cowboy will use reasonable endeavours to notify you promptly and arrange a full refund of amounts paid.

‍ ‍3.5  Booking Errors

‍ ‍If you identify an error in your booking confirmation, you must notify us at [SUPPORT EMAIL] promptly. Cowboy will endeavour to assist but cannot guarantee amendments after confirmation. Post-confirmation changes are subject to the Partner's cancellation and amendment policy.

4.  Pricing, Payments, and Fees

‍ ‍4.1  Pricing

‍ ‍Prices are set by Partners and are subject to change until booking confirmation. Prices may be displayed in Thai Baht (THB), Euro (EUR), or other currencies. Applicable taxes, service charges, or fees will be disclosed prior to confirmation to the extent required by applicable law.

‍ ‍

4.2  Payment Processing via Stripe

‍ ‍All payments are processed through Stripe, Inc. By submitting payment details, you agree to Stripe's Terms of Service and Privacy Policy. Cowboy operates a single Stripe account, collects payment from you on the Partner's behalf, retains any applicable platform fee, and settles the balance with the relevant Partner. Stripe's role in processing payment data is further described in the Privacy Policy.

‍ ‍4.3  Payment Authorisation

‍ ‍By submitting payment details, you represent that you are authorised to use the payment method provided and authorise Cowboy and Stripe to process the applicable charge. You are responsible for ensuring sufficient funds or credit are available.

‍ ‍4.4  Failed Payments

‍ ‍If a payment is declined or fails, your booking will not be confirmed. Cowboy is not responsible for loss of availability resulting from a payment failure.

‍ ‍4.5  Platform Service Fee

‍ ‍Cowboy may charge a service fee in connection with bookings. Where applicable, the fee will be disclosed as a distinct line item before payment confirmation. The service fee is non-refundable except where required by applicable law or where Cowboy is responsible for the booking failure.

5.  Cancellations, Amendments, and Refunds

‍ ‍5.1  Partner Cancellation Policies

Cancellation and refund terms are set by each Partner and vary by listing. The applicable policy is displayed during the booking process and forms part of your agreement with the Partner. You are responsible for reviewing the policy before confirming. Cowboy does not override a Partner's cancellation policy except where required by applicable law.

5.2  Cancellations Requested by You

‍ ‍Requests to cancel or amend a confirmed booking must be submitted through the Platform or sent to [SUPPORT EMAIL]. Refunds, if any, will be calculated in accordance with the Partner's cancellation policy. Cowboy is not obligated to refund amounts in excess of what the Partner's policy permits, subject to any rights you have under applicable consumer protection law.

‍ ‍5.3  Partner Cancellations

‍ ‍Where a Partner cancels a confirmed booking, Cowboy will use reasonable endeavours to notify you promptly and process a full refund of amounts paid. Cowboy is not liable for any consequential or indirect losses arising from a Partner cancellation — including alternative accommodation, transport, or out-of-pocket expenses — except as required by applicable consumer protection law.

‍ ‍5.4  Refund Processing

‍ ‍Refunds are returned to the original payment method. Processing timelines depend on Stripe and your card issuer, typically five to ten business days. Cowboy does not deduct any fee from refunds it is obligated to make.

‍ ‍5.5  Chargebacks

‍ ‍If you initiate a chargeback or payment dispute with your bank or card issuer in respect of a transaction that was validly completed, Cowboy reserves the right to suspend or terminate your account and to pursue recovery of the refunded amount together with any chargeback fees, processing costs, and administrative expenses Cowboy incurs as a result.

6.  Partner Responsibility and Hostel Liability

‍ ‍Partner hostels and accommodation providers are independent operators. Each Partner is solely and exclusively responsible for:

‍ ‍‍•           the accuracy, completeness, and currency of its listing content, including descriptions, photographs, stated facilities, and pricing;

‍ ‍•           the physical condition, cleanliness, safety, and quality of accommodation and facilities;

‍ ‍•           compliance with all applicable Thai laws and regulations, including hospitality licensing, health and safety, fire safety, and consumer protection requirements;

‍ ‍•           all check-in, check-out, guest management, and house rule procedures; and

‍ ‍•           any personal injury, death, property damage, or financial loss suffered by a guest at or in connection with the Partner's accommodation.

‍ ‍‍ ‍

Cowboy does not own, operate, manage, inspect, certify, or endorse any Partner property. Cowboy makes no representation or warranty as to the accuracy of Partner listings, the quality, fitness, or safety of Partner accommodation, or the conduct of Partners or their staff. User reviews and ratings displayed on the Platform represent the subjective opinions of individual users and are not Cowboy endorsements. Cowboy does not verify or validate the content of user reviews.

‍ ‍‍Any dispute about the accommodation itself — including quality, facilities, injuries, or Partner conduct — must be raised directly with the Partner in the first instance. Cowboy may assist in facilitating communication but is not obligated to resolve disputes between users and Partners.

7.  Interactive Map, Routes, and Location Features

‍ ‍

The Platform provides an interactive map powered by Google Maps, GPS-based location tracking, route polyline generation and storage, and map layer toggles. Route polylines and associated metadata are stored in Cowboy's PostgreSQL database and linked to your account.

‍ ‍Cowboy does not warrant the accuracy, completeness, or fitness for purpose of any mapping data, route suggestion, polyline, or distance calculation. Mapping data is sourced from Google Maps Platform and is subject to Google's terms of service and limitations. You rely on map and route features at your own risk. You should verify critical navigation and safety information from authoritative sources before and during travel.

‍ By enabling location services, you consent to Cowboy processing your location data in accordance with the Privacy Policy. Location permissions are managed through your device settings.

8.  Activities, Transport, and External Links

‍ ‍

The activities and transport sections of the Platform contain links to external third-party providers for informational and convenience purposes only. Cowboy does not operate, manage, book, or take responsibility for any activity, excursion, transport service, or other product accessible via those links.

‍ By following an external link, you leave the Cowboy Platform. The terms of service and privacy policy of the relevant third party apply. Cowboy is not responsible for the content, availability, accuracy, booking conditions, or practices of any external service. Any booking, payment, injury, loss, or dispute arising from your engagement with an external provider is solely between you and that provider.

9.  User Account Page and Personal Data

‍ ‍Your account page displays your profile, saved routes, booking history, and account preferences. You may update your personal information at any time through the account settings. Changes to your email address may require re-verification through Firebase Authentication. For data deletion requests, refer to Section 16.

‍ ‍

10.  Admin Panel

‍ Access to the Cowboy admin panel — including interactive map pin management and the analytics dashboard — is restricted to authorised Cowboy personnel and administrators. Any access to or use of the admin panel by unauthorised persons is strictly prohibited and may constitute a criminal offence under applicable law. Cowboy reserves the right to take all available legal and technical measures to prevent and address unauthorised access.

11.  User Conduct

‍ ‍By using the Platform, you agree not to:

‍ ‍‍•           use the Platform for any unlawful, fraudulent, deceptive, or improper purpose;

‍ ‍•           provide false, misleading, or inaccurate information to Cowboy or Partners;

‍ ‍•           make speculative, fictitious, or fraudulent bookings;

‍ ‍•           impersonate any person or entity or misrepresent your affiliation with any person;

‍ ‍•           attempt unauthorised access to any part of the Platform, Cowboy's systems, or any user account;

‍ ‍•           use automated tools (including bots, scrapers, or crawlers) to extract or index Platform content without Cowboy's prior written consent;

‍ ‍•           introduce viruses, malicious code, ransomware, or other harmful material;

‍ ‍•           transmit content that is defamatory, threatening, offensive, harassing, or unlawful;

‍ ‍•           overwhelm, degrade, or impair Platform performance; or

‍ ‍•           circumvent any security, authentication, or access control mechanism.

‍ ‍‍

Cowboy reserves the right to remove content, suspend access, and terminate accounts for breach of this section, without prior notice and without liability to the extent permitted by applicable law.

‍ ‍

12.  Intellectual Property

‍ ‍12.1  Cowboy's Intellectual Property

‍ ‍All intellectual property in the Platform — including application design, source code, software architecture, UI, text, graphics, logos, route data, curated content, and materials created by or for Cowboy — is owned by or licensed to Cowboy and protected by applicable law. You may not copy, reproduce, distribute, modify, create derivative works from, decompile, reverse engineer, or commercially exploit any such material without prior written consent from Cowboy.

‍ ‍12.2  Partner Content

‍ ‍Listing content, photographs, and descriptions supplied by Partners are owned by those Partners or their licensors. Cowboy does not warrant the accuracy, currency, or intellectual property status of Partner-supplied content.

‍ ‍12.3  User-Generated Content

‍ ‍Where you submit reviews, feedback, route data, or other content, you grant Cowboy a non-exclusive, irrevocable, royalty-free, worldwide licence to use, display, reproduce, adapt, and distribute that content in connection with operating and improving the Platform. You warrant that you own or have the rights to submit the content and that it does not infringe any third-party right.

‍ ‍12.4  Feedback

‍ ‍Suggestions, ideas, and feedback you provide to Cowboy may be used for any purpose without obligation or compensation to you.

‍ ‍

13.  Disclaimers

‍ ‍13.1  Platform Provided "As Is"

‍ ‍The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Cowboy disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Cowboy does not warrant that the Platform will be uninterrupted, error-free, secure, or free of harmful components.

‍ ‍13.2  Third-Party Services

‍ ‍Cowboy makes no warranty regarding the quality, safety, legality, accuracy, or availability of any Partner accommodation or third-party service accessible from or linked to the Platform. Your use of such services is at your own risk.

‍ ‍13.3  Mapping and Navigation

‍ ‍Map, route, and location data is provided by Google Maps Platform and is subject to Google's limitations. Cowboy does not warrant its accuracy or completeness. You should not rely solely on Platform navigation data for travel safety decisions.

‍ ‍

14.  Limitation of Liability

‍ ‍14.1  Aggregate Liability Cap

‍ ‍To the maximum extent permitted by applicable law, Cowboy's total aggregate liability to you arising out of or in connection with these Terms, the Platform, or any booking or transaction facilitated through the Platform — whether in contract, tort (including negligence), statute, or otherwise — shall not exceed the total amount paid by you to Cowboy in the twelve (12) months immediately preceding the event giving rise to the claim.

‍ ‍14.2  Exclusion of Indirect Loss

‍ ‍To the maximum extent permitted by applicable law, Cowboy shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, business, data, goodwill, or anticipated savings, whether or not Cowboy has been advised of the possibility of such loss.

‍ ‍14.3  Exclusions from Limitation

‍ ‍Nothing in these Terms excludes or limits Cowboy's liability for: (a) death or personal injury caused by Cowboy's negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot lawfully be excluded or limited under applicable Irish law, EU law, or, where applicable, Thai law. Where you are a consumer, you retain all statutory rights that cannot be excluded by contract.

15.  Indemnification

‍To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Cowboy, its directors, officers, employees, contractors, and agents from any claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform in breach of these Terms; (b) content you submit to the Platform; (c) your breach of any representation or obligation under these Terms; or (d) your violation of any applicable law or third-party right.

16.  Account Deletion

‍ ‍You may request deletion of your account and personal data at any time by:

‍ ‍‍•           using the in-app account deletion function in the User Account section;

‍ ‍•           emailing support@cowboytravelapp.com; or

‍ ‍•           submitting a request on the app.

‍ ‍‍ ‍

Following a valid deletion request, your account will be deactivated and your personal data deleted or anonymised in accordance with the Privacy Policy and applicable retention obligations. Account deletion is permanent and irreversible. You will permanently lose all saved routes, trip data, booking history, and account-linked content. Outstanding bookings, payment obligations, or disputes existing at the time of deletion remain subject to these Terms.

17.  Data Protection

‍ ‍Cowboy processes personal data in accordance with its Privacy Policy, available at https://www.cowboytravelapp.com/s/COWBOY-Travel-Privacy-Policy-2026.pdf and incorporated into these Terms by reference. As an Irish company, Cowboy is subject to GDPR. Where the Platform is used in Thailand, Cowboy also takes into account the requirements of the PDPA.

18.  Governing Law and Dispute Resolution

‍ ‍18.1  Governing Law

‍ ‍These Terms are governed by and construed in accordance with the laws of Ireland. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

‍ ‍18.2  Jurisdiction

‍ ‍You and Cowboy irrevocably submit to the exclusive jurisdiction of the courts of Ireland to determine any dispute or claim arising out of or in connection with these Terms or their formation, subject to clause 18.3. Cowboy reserves the right to seek urgent injunctive or interim relief in any competent jurisdiction.

‍ ‍18.3  Mandatory Consumer Rights

‍ ‍If you are a consumer habitually resident in a jurisdiction whose mandatory consumer protection laws confer rights that cannot be excluded by contract, including as to choice of law or jurisdiction, nothing in these Terms is intended to deprive you of those rights. To the extent such mandatory provisions conflict with clauses 18.1 or 18.2, the mandatory provisions prevail to the extent of the conflict.

‍ ‍18.4  Good-Faith Resolution

‍ ‍Before commencing formal proceedings, the parties agree to attempt resolution through written good-faith negotiation for a period of not less than thirty (30) days from written notice of the dispute, unless urgent interim relief is required.

‍ ‍

19.  Modifications to the Platform and These Terms

‍ ‍19.1  Platform Changes

‍ ‍Cowboy may modify, suspend, or discontinue the Platform or any feature at any time with or without notice, including for maintenance, legal, or commercial reasons. Cowboy will not be liable for any such modification, suspension, or discontinuation. Where Platform changes affect confirmed bookings, Cowboy will take reasonable steps to notify affected users.

‍ ‍19.2  Changes to These Terms

‍ ‍Cowboy may update these Terms at any time. Material changes will be communicated by updating the Last Updated date and, where practicable, by notice through the Platform or by email. Continued use of the Platform after the effective date of any updated Terms constitutes acceptance of those changes. If you do not accept revised Terms, you must stop using the Platform and may close your account under Section 16.

20.  General Provisions

‍ ‍20.1  Entire Agreement

‍ ‍These Terms, together with the Privacy Policy and any other policies or notices published on the Platform, constitute the entire agreement between you and Cowboy regarding the Platform and supersede all prior representations, agreements, or understandings.

‍ ‍20.2  Severability

‍ ‍If any provision of these Terms is held invalid, unlawful, or unenforceable, it will be severed to the minimum extent necessary, and the remaining provisions will continue in full force.

‍ ‍20.3  Waiver

‍ ‍No failure or delay by Cowboy in exercising any right constitutes a waiver of that right. A waiver of a specific breach does not constitute a waiver of any subsequent breach.

‍ ‍20.4  Assignment

‍ ‍Cowboy may assign or novate its rights and obligations without your consent in connection with a corporate restructuring, merger, acquisition, or asset sale, provided the assignee assumes all obligations. You may not assign or transfer your rights or obligations without Cowboy's prior written consent. Any purported assignment in violation of this clause is void.

‍ ‍20.5  Force Majeure

‍ ‍Cowboy is not liable for delay or failure to perform obligations under these Terms to the extent caused by circumstances beyond its reasonable control, including natural disasters, pandemic, government action, war, civil unrest, power failures, internet disruptions, or acts or omissions of third-party providers.

‍ ‍20.6  Relationship of Parties

‍ ‍Nothing in these Terms creates a partnership, joint venture, agency, employment, or franchise relationship between you and Cowboy. You have no authority to bind Cowboy in any way.

‍ ‍20.7  Language

‍ ‍These Terms are drafted in English. In the event of conflict between an English version and any translation, the English version prevails.

‍ ‍20.8  Notices

‍ ‍Legal notices to Cowboy must be sent in writing to [LEGAL EMAIL]. Cowboy may give notice to you by email to your registered address or through the Platform.
